Terms and Conditions of Sale

1. Price
All prices published by Seller may be changed at any time without notice. All prices quoted by Seller are valid for thirty (30) days, unless otherwise stated in writing.

2. Specifications 
Product specifications are subject to change without prior notice.

3. Payment Terms 
Payment shall be net 30 days of date of invoice, unless otherwise stated. Any payment not received within five (5) days of the due date shall result in a late charge of five percent (5%) of the payment owing, and shall bear interest (including any late charge) at the rate of eighteen percent (18%) per annum compounded monthly from the due date until paid.
All payments shall be made in U.S. dollars. 
Seller reserves the right to require pre-payment prior to manufacture, preparation, and shipment of any products.

4. Shipment, Handling and Delivery
Delivery of the Products to the carrier at Seller's shipping point shall constitute Seller's sole shipping obligation and Buyer shall thereafter bear all risks of loss or damage in transit. Unless Buyer specifies mode of shipment, Seller will determine the method of shipment and choice of carrier.
Shipping and handling charges will be added to the quoted price for the products.
Buyer is responsible for the payment of import duty or VAT that might be imposed by Customs in his country.

5. CLAIMS for LOST or DAMAGED SHIPMENTS
Buyer shall  inspect all packages immediately upon receipt and shall notify Seller in writing of any claims for shortages, defects or damages and shall hold the goods for Seller’s written instructions concerning disposition. If Buyer shall fail to so notify Seller within 60 days after the goods have been received by Buyer, such goods shall conclusively be deemed to conform to the terms and conditions of order and to have been irrevocably accepted by Buyer.

6. Product Return Policy
Returns require an authorization number issued by Seller. All authorized returns must be made within 10 days of authorization. Hazardous goods must be shipped in compliance with all applicable Department of Transportation regulations.

7. LIMITED WARRANTY
Seller warrants that the products, at the time of delivery to Buyer, shall conform to the specifications for such products as are set forth in Seller's catalog, Seller's website, or any other written material furnished to Buyer by Seller.  SELLER MAKES NO OTHER EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS CONCERNING THE PRODUCTS, including but not limited to warranty of merchantability and warranty of fitness for a particular purpose.

8. LIMITATION OF LIABILITY.
UNDER NO CIRCUMSTANCES SHALL SELLER BE LIABLE TO BUYER OR ANY OTHER PERSON FOR ANY INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOSSES OR EXPENSES, OR INJURY TO PERSON ARISING IN CONNECTION WITH THE USE OF, OR INABILITY TO USE THE PRODUCTS FOR ANY PURPOSE WHATSOEVER. Buyer shall indemnify and hold Seller harmless from and against all loss, cost, damage or liability arising from the transport, use, storage and disposal of any of the products.

9. HAZARDS
Seller's products should be handled only by qualified and trained individuals. In purchasing these products, Buyer acknowledges that there are hazards associated with their use. Buyer represents and warrants to Seller that from Buyer's own independent review and study Buyer is fully aware of (a) the health and safety hazards associated with the products purchased; (b) industrial hygiene controls that are necessary to protect its workers from the health and safety hazards of the products; (c) government regulations regarding the use of and exposure to such products.

Seller accepts buyer's orders solely upon the terms and conditions stated herein.
